In accordance with Clause 39.1 of the Constitution, the election to the Board of Directors will be held prior to the Annual General Meeting on Tuesday 17 October 2023 and announced on the day.
Nominations are called for 4 Elected Directors
Clause 40.1: The terms of Elected Directors will be staggered so that elections for 3 Elected Director positions on the Board will be conducted each year.
At the 2022 AGM, approval was given for Clause 36.1 (a) to be altered to increase both the Elected and Appointed Directors by two each, giving eight (8) Elected Directors in total.
Therefore, prior to the AGM in 2023, an Election will be held for the four (4) Elected Director positions to join the remaining Elected and Appointed Directors on the Board.
Please note:
- Nominated individuals must be FULL MEMBERS at the time of the election.
- Self-nominations are permitted.
- Office Bearers (President and Vice President) will be appointed from amongst the 6 elected directors at the first board meeting after the AGM.
Please complete the nomination form below by 5 pm (AEST) on Friday, 22 September 2023 if you wish to be considered as a candidate for election to the Board of Directors. Please submit one form per candidate if nominating more than one member.
If the number of nominations exceeds the number of vacancies to be filled, a ballot will be held prior to the Annual General Meeting, which may include an electronic ballot as determined by the Board.
If insufficient nominations are received to fill all vacancies on the Board;
i. the candidates nominated shall be declared elected at the Annual General Meeting following the election; and
ii. any unfilled positions remaining on the Board shall be deemed casual vacancies.
Candidates will be notified by the Company Secretary on Monday 25 September 2023 to confirm their eligibility status and next steps. If the number of nominations received is equal to the number of vacancies to be filled, the candidates nominated shall be declared elected at the Annual General Meeting following the election.
